FAQ
Where can I find all current Illinois Secretary of State business forms?
Illinois centralizes its business-entity forms on the Business Services Publications and Forms page.
The current fee schedules are published on the entity-specific forms pages for Domestic and Foreign Corporations Publications and Forms, Limited Liability Company Publications and Forms, Not For Profit Corporations Publications and Forms, Limited Partnership Publications and Forms, and Limited Liability Partnership Publications/Forms.
Online filing is handled through separate Illinois filing portals rather than through the forms-listing pages. The current online entry point for formation filings is Start a Business.
Is the registered agent consent form required to be filed with the Illinois Secretary of State?
The current Illinois business forms pages do not publish a separate registered agent consent form for corporations, nonprofits, LLCs, LPs, or LLPs.
Instead, the agent designation appears inside the main filing document, such as LLC 5.5 Articles of Organization, BCA 2.10 Articles of Incorporation, and LP 201 Certificate of Limited Partnership.
The current SOS materials reviewed do not publish a separate consent-retention form that is kept internally rather than filed. The current LLC 1.36/1.37 Statement of Change of Registered Agent and/or Registered Office does publish a $100 penalty note for failure to appoint and maintain a registered agent within 60 days, but it does not create a separate consent-filing requirement.
What form is used to change a registered agent in Illinois?
Business corporations use BCA 5.10/5.20 Statement of Change of Registered Agent and/or Registered Office, and nonprofits use NFP 105.10/105.20 Change of Registered Agent/Office. The routine filing fee is $25 for business corporations and $5 for nonprofits.
LLCs use the same LLC change form described above in the body tables; LPs use LP 115 Change of Designated Office or Agent for Service of Process, and LLPs use UPA 1001(h)/1102(g) Statement of Amendment. The routine filing fee is $25 for LLCs, $50 for LPs, and $25 for LLPs.
Online filing is available for corporations and nonprofits through Corporation Registered Agent or Address Change and for LLCs through LLC Change of Registered Agent and/or Agent’s Office Address. Mail and in-person filing use 501 S. Second Street, Room 350, Springfield, IL 62726 and 160 N. LaSalle Street, Chicago, IL 60601; phone: 217-524-8008, 312-793-3380, 800-252-8980.
No public Business Services email address is listed on the current SOS contact page.
What is the difference between the entity-filed change form and the agent-filed change form in Illinois?
Illinois publishes entity-filed change forms for corporations, nonprofits, LLCs, LPs, LLPs, and limited worker cooperative associations.
The current Illinois business forms pages reviewed do not publish a separate registered-agent-filed form that lets one agent update its own name or address across multiple represented entities in one filing. That means the represented entity, not the agent acting across multiple clients, files the change document in Illinois.
If the agent does not wish to continue serving, Illinois uses the resignation forms listed above rather than a separate agent-filed name-or-address change form. The current SOS materials reviewed also do not publish a multi-entity fee cap for agent-filed changes because no separate agent-filed change form is listed.
Is there a fee to form a nonprofit corporation in Illinois?
Yes. NFP 102.10 Articles of Incorporation has a $50 routine filing fee.
The current nonprofit fee schedule on Not For Profit Corporations Publications and Forms lists a $25 additional expedited fee. That is lower than the $150 routine filing fee for a business corporation and the $150 routine filing fee for a standard LLC.
The current online nonprofit formation instructions page is Not-for-Profit Articles of Incorporation. Current Illinois online formation pages state that card transactions are subject to a payment processor fee.
What forms are used to register an out-of-state LLC in Illinois?
A foreign standard LLC uses LLC 45.5 Application for Admission to Transact Business. A foreign series LLC uses LLC 45.5(S) Application for Admission to Transact Business (Series).
The routine filing fee is $150 for a foreign standard LLC and $400 for a foreign series LLC. Each filing includes the Illinois registered agent and registered office designation.
The current Illinois SOS materials reviewed do not publish a quantified late foreign-registration penalty on the foreign LLC admission materials. The published $100 penalty note on the LLC change form is separate from foreign admission and should not be treated as a late foreign-registration fee.
What forms are used to form or register a partnership in Illinois?
A domestic limited partnership uses LP 201 Certificate of Limited Partnership, and a foreign limited partnership uses LP 902 Application for Certificate of Authority. Each filing states the Illinois agent for service of process, and each has a $150 routine filing fee.
A domestic LLP uses UPA 1001 Statement of Qualification, and a foreign LLP uses UPA 1102 Statement of Foreign Qualification. The LLP qualification fee is $100 per partner with a $200 minimum and a $5,000 maximum for a domestic LLP, while the foreign LLP filing fee is $500.
Illinois also publishes UPA 303 Statement of Partnership Authority for a general partnership. That filing does not create LLP status and does not replace LP or LLP registration documents.
The current Illinois SOS forms pages reviewed do not publish a separate domestic LLLP formation form or a separate foreign LLLP registration form. The current LP forms accommodate names containing “LLLP,” but the current SOS materials reviewed do not publish a dual-filing requirement for a foreign LLLP.
Can I file Illinois SOS forms online?
Yes. Illinois uses Start a Business as the public online entry point for new domestic corporation, nonprofit, and LLC filings, with separate filing portals for Corporation Articles of Incorporation and LLC Articles of Organization.
Illinois also provides online filing for Annual Report Filings, Corporation Registered Agent or Address Change, LLC Change of Registered Agent and/or Agent’s Office Address, Reinstatement Filing – Corporation, LLC Reinstatement, and Reinstatement Filing – Not For Profit.
The current public portals reviewed do not state that a separate pre-registration account is required before a filing can be started. Current online formation, change, and reinstatement pages state that card payments are used and that a payment processor fee applies.
Illinois distinguishes routine processing from expedited processing on its current online corporation and LLC formation pages and on its current agent-change and reinstatement pages. Expedited fees vary by filing type and are listed with the applicable form or online service.
